The Dal Terms of Service Agreement ("Agreement") constitutes the legal agreement between you; the individual or organization or individuals acting on behalf of such person or organization ("You" or "Your" or "User" or "Users") and Dal ("Dal" or "We" or "Us") governing the Dal applications ("App" or "Apps"), or Dal website, or any other services or products offered in any form (software or hardware or service), or usage rights provided, collectively referred to as ("Services"). By accessing or using the Services, or downloading the App, or requesting any of the Services, you agree to the Terms and consent to them, and become legally bound by this Agreement, whether you or the entity you represent in this Agreement. The Terms apply to all users of the Services, and all users refer to sellers, buyers, contributors to content, or services, among others. Amendments Dal reserves the right to change or make amendments to these Terms at any time. Notice of changes will be sent to you via email or through a message when you use the Services next time. If you continue to use the Services after changes have been made to the Terms, your access and use of the Services will be according to the latest Agreement. We also reserve the right to change, add, or remove any features, functions, or facilities offered and resources from the Services at any time. You may be required to update or install the latest version of the App or upgrade your device to benefit from any changes or additions to the Services. These Terms do not guarantee under any circumstances that the Services will be available at all times. Dal is also not obligated under these Terms to provide support and maintenance for the Services, or to continue providing them. We may completely cease to offer all or some of the Services at any specific time. Definitions • Dal Account: The account created to access Dal services. • Intellectual Property: Refers to all copyrights, trademarks, service marks, patents, trade dress, trade secret rights, publicity rights, moral rights, and other intellectual property rights existing now or in the future. • Content: Refers to any text, images, graphics, photographs, audio, video, location information, and any other form of data used. • User Content: The content provided by the user for the purpose of marketing, displaying, selling, and purchasing their products and services. • User Data: Refers to the content provided or uploaded by the user to or through Dal services. This includes, but is not limited to, reviews, comments, personal information, messages, and information provided to your account for general and private use. • Product Listings: A list of items, compatible with the type of business, displayed, marketed, sold, and purchasable through the services or by using the services. Dal Account In order to access and benefit from Dal services, you will need to create a Dal account. Therefore, you must have reached the legal age and have the necessary authority to accept these terms to access and use the services. You must also ensure that the information provided (personal and business-related) is accurate, up-to-date, and complete, and you must update any changes or modifications to the information you have previously provided. If you open a Dal account for another entity (such as a company/organization or another person), you warrant that you are the authorized representative of that entity and that you have the authority to bind that entity to this agreement on its behalf. Account Payment Subscribing to a Dal account means that you have allowed us to deduct payments for your subscription period at the beginning of this subscription. Dal will also continue to deduct payments for each period following the initial subscription period, at the beginning of the specified subscription period. The user agrees that Dal will collect all applicable fees through the payment method chosen by the user at the time of subscribing to the Dal account. Dal may use an external vendor to act as an intermediary for commercial settlements, card transactions, or any form of payment services. The user agrees to comply with the terms and conditions of the mentioned third party for all related services. User Authorization The user also authorizes Dal and the external vendor to share any information about the user required to complete payment transactions (e.g., personal information, credit card information, and financial information). Free Trial For users who wish to experience Dal services, Dal offers a free trial for a period of 15 days for a specific list of services. If the user chooses to continue using the services after the trial period expires, the user must provide valid information for the selected payment method to pay any applicable fees for the chosen subscription. Dal is not responsible for any notification before the end of the free trial period. Dal also reserves the right to change or terminate your free trial at any time without notice. All fees and charges do not include any taxes, and the user agrees that Dal is not responsible for any issues or penalties claimed by any tax authority. Account Termination If you fail to comply with the terms, Dal reserves the right to terminate your account or remove or change the content or cancel your service request, at its sole discretion. Dal also reserves the right to terminate your account and remove all relevant data if your account remains inactive for 180 consecutive days. Dal has the freedom to terminate or suspend all or some activities on your Dal account without any prior notice or explanation for reasons including the violation of any of the terms or policies. Upon termination of the agreement, the license to use the services ends, and the user must immediately cease using any of the services. After termination, the user will be given 30 days from the termination date to extract user content and user data. After this time period, Dal has the freedom to delete user content and the user without any liability to the user or any third party. Account Responsibility For users who adhere to Dal's policies, we provide a means to conduct transactions and business through the purchase, sale, and marketing of certain products. However, Dal is not responsible in any way for the nature of the transaction between the buyer and the seller, the authenticity, quality, and safety of the products listed by the seller, or the product reviews mentioned. We have no control, and we are not responsible for the products or services paid for through Dal. Any violations related to the seller or buyer regarding the country's laws and regulations are the full responsibility of the user while using the application. Dal is also not responsible for completing any transactions between buyers and sellers. Dal will not conduct any investigation into the accuracy of the information provided by users or the users themselves. All activities that occur under a Dal account are the sole responsibility of the users, and the user must immediately notify Dal in case of unauthorized use or if there are indications of any security breach in their Dal account. The user is also responsible for maintaining the confidentiality of their account information and password and securing it. The user agrees to comply with the laws of the country (or countries) where their business activities are conducted regarding their activities using a Dal account or services. The user agrees to refrain from activities that are considered or could be considered illegal, deceptive, fraudulent, or suspicious, or using content that may be inappropriate or defamatory, or using the services in a manner harmful to Dal's systems or security or other users. The user agrees not to violate the rights of any third party or to cause the infringement of the intellectual property of any third party or misuse the internal secrets of a third party, by using them for the services. The user also agrees to refrain from collecting information and data from our services, systems, or servers, and agrees to refrain from attempts to intercept or decrypt any transmissions sent to and from our servers. The user must not use another user's information or data to any third party for any reason or purpose (including commercial or marketing purposes) unless the other user has agreed to it beforehand. The user is prohibited from using any automated methods or robots to log in to their Dal account. Account Cancellation The user has the right to cancel their subscription to Dal services at their discretion. You must log in to your account to cancel your subscription, and if your subscription is canceled before the end of the paid period, you can continue to use the services until the end of that period, after which your subscription will not be renewed, and your Dal account will be canceled. No refund will be issued for the subscription period you wish to cancel (unless we agree otherwise before cancellation). Upon complete cancellation of your account, the following will occur: • Your account will be deactivated. • Your account data will be deleted, and Dal will not be responsible for recovering any materials, content, or information. • Your rights to our services granted under this agreement will terminate. Availability and Service Quality Dal does not guarantee that any of the services will be available at all times or that the user will have uninterrupted, timely, and secure access to the services. The services may be upgraded, changed, suspended, or discontinued at any time without prior notice. Dal also does not guarantee that the services will always be reliable and that the quality of the products, services, or information obtained through the services will meet your expectations. Dal also does not guarantee the processing of any errors that may occur and their correction. User Content and User Data The user ensures that they have the authority to use the content or grant permission to use it. The user is fully responsible for their content and the risks associated with the accuracy, authenticity, quality, and reliability of the content, or the opinion of any person regarding its accuracy. For any content that makes the user personally identifiable, Dal will not be held responsible. Under no circumstances can the user imply or claim that Dal has endorsed, supported, or sponsored the content in any form. It is not always possible to remove content once it is published. Dal will not be responsible for any content you or any third party publish or provide. For each item or service you offer in your business, you guarantee that the sale, purchase, and marketing of the mentioned item or service have been legally conducted and that the provided description is accurate. Your product listings may include textual descriptions, images, and other relevant graphics related to the sale of that product. Dal is also not responsible for the safety and confidentiality of the content and user data and is not liable for any damages or losses that may occur to the content and user data. Dal is not responsible for providing you with an exact copy or backup of the content. Your Data Dal also has the authority to monitor, remove, modify, or change any user activity, content, and data, or use it for advertising purposes at its discretion without any prior notice. Security Dal provides security measures to prevent data loss, unauthorized alteration, or access to personal information. However, Dal does not guarantee that a security breach will not occur through the breach of these measures. The user acknowledges that they provide their information and personal data at their own risk. Third-Party Suppliers The user allows Dal to use or integrate third-party suppliers to provide any service or product that may be considered a requirement for our services. The user agrees to comply with the terms of service of third-party vendors and agrees not to hold Dal responsible for any action taken by the third-party vendor, even if such action results in any type of loss or damage, including but not limited to; personal injury, property damage (even to your home), or loss in business affairs, products, or services. You also grant Dal the authority to share and exchange your data (personal and business) with these third-party vendors to provide you with our services. The information shared with third-party vendors, upon exchange, will be subject to the terms and conditions and privacy policy of this separate third-party, separate from Dal's terms and conditions and privacy policy. The user acknowledges that products and services from third-party integrations into the services are not under Dal's control, and this agreement does not apply to third-party services and products unless otherwise stated. Dal's services may contain links to third-party websites and advertisements, and when clicking on these links, Dal will not notify you that you are subject to the terms, conditions, and privacy policies of this third-party, and you have left the jurisdiction of this agreement. These third-party websites and advertisements are not under Dal's management and are not Dal's responsibility. This content is displayed for facilitation purposes only and is not reviewed, guaranteed, monitored, endorsed, or represented by Dal. The use of these links is at the user's own risk. Users are advised to review the terms and conditions and privacy policies of third-party websites, applications, and advertisements and conduct appropriate investigation before engaging in any agreement or transaction. Intellectual Property The use of any intellectual property rights of Dal or registered trademarks in any form, in conjunction with trademarks or other products or services, or in any way that may create confusion regarding Dal's services, products, legal rights, or any other offers or representations, is prohibited. The user agrees to acknowledge Dal's ownership of the intellectual property rights existing in Dal's services. The user agrees not to take any action in any way that conflicts with or challenges this ownership. Dal lists the following items within its intellectual property rights and registered trademarks: all Dal graphics including but not limited to: logos, buttons, icons, designs, headers. The user agrees not to use Dal's trademarks in any form or as part of domain names for any email addresses or websites. The user agrees not to publish or use intellectual property rights, trademarks, or any similar material that falls under Dal's ownership unless a prior written agreement has been reached with Dal. User Data User data and information collected through the user's use of the services fall within the scope of the non-exclusive license granted by the user to Dal, for an unlimited period of time. This data includes user feedback and reviews regarding the services. Under this license, Dal may use user data and information and may modify or incorporate your feedback or comments for business purposes and other uses. Dal agrees to keep the user anonymous and use user data collectively with other Dal users. Disclaimer Notice All content, materials, products (including hardware and software), and services provided by Dal are provided "as is" and "as available," and the use of such is solely at the user's own risk. Dal does not provide any warranties of any kind (express or implied) regarding the operation of the services (both hardware and software) or the data, information, content, or any other form of materials or products (including software and hardware) and services to you. Dal disclaims all warranties (including implied warranties) including but not limited to warranties of title and fitness for a particular purpose; that the products to be sold and purchased, or for any specific purpose, or that any content or material or product (including software and hardware) or service or communication from Dal (their website or servers or their applications) will be free of viruses or defects. Dal is not liable for any damages or losses that may occur to profits, business, goodwill, data, or any other form of tangible or intangible losses, from the use of the services or from any content or material or information provided by you or Dal through Dal's services. Responsibility and Limitations Additionally, Dal is not responsible for damages or losses resulting from performance failure, errors, viruses, interruptions in service or communication, delays in transmission, data or information deletion, or defects. This may or may not result from environmental issues, unauthorized access, theft, or destruction of documents, data, and/or services and products, whether directly, indirectly, incidentally, or otherwise, even if Dal mentions the possibility of such occurrences. The user agrees to indemnify subsidiaries, affiliates, executives, directors, and employees from any claim, liability, fees, damages, losses, penalties, or compensation, investigation, or audit by a third party or other person for reasons including but not limited to: • Any breach (even alleged) of this agreement, the terms, and policies specified in this agreement, or documents referred to in this agreement. • Your violation of any law, rule, or regulation in your country. • Your violation of third-party rights including, but not limited to, privacy, advertising, or intellectual property rights. • Your use of Dal's services or your ability to use them. This disclaimer of liability, to the extent permitted by law, is effective unless otherwise stated in writing. Rights and Limitations Dal may provide technical support and ensure that the functions of the services are sufficient by monitoring the devices and computers and systems (collectively referred to as "Devices") that may contain Dal software and applications or be connected to the Dal network, through the use of some tools and facilities embedded in Dal software and applications, which allow Dal to remotely access these devices. The user grants Dal the right to use these tools and auxiliary tools and also allows Dal to log into these devices and modify and process data for the purpose of improving or maintaining the functions of the services. • The amount of sales transactions from user accounts monthly. • The amount of storage required for user data. • The number of accesses to the user page during a 5-minute period. Top of Form • The number of API (Application Programming Interface) calls within a 5-minute period. • The bandwidth consumed by the user within one day (24 hours). • The number of ports, clients, and products. • The number of open support tickets monthly. If Dal does not immediately enforce regulations or take action regarding any breach of terms, this does not in any way mean that the terms or rights have been waived, nor does it mean that you are not required to comply with these policies and terms. Dal is not obliged to notify users of any restrictions on their services, but will endeavor to do so if necessary. Apple App Store Download Terms The following terms apply to users who have obtained the Dal application (applications) from the Apple App Store. Users must comply with the terms of service of the Apple App Store, including usage rules. This agreement only defines the terms between you, the user, and Dal and does not reflect Apple's terms and conditions in any way. Apple is not obligated to provide any maintenance or support to you regarding the application. Dal is solely responsible for the application, its maintenance, and its contents (subject to these terms). If the application warranty is invoked (according to these terms) due to any failure or problem in the application, the user may notify Apple to obtain a refund. Otherwise, and subject to applicable law, Apple assumes no other warranty obligations. Apple is not responsible for any claims related to the application regarding compliance issues in legal, regulatory policies, or violations of any rights or intellectual property. Once the user accepts these terms, Apple and its subsidiaries have the right to enforce these terms against the user. Fees Usage fees ("Fees") have been imposed on the Dal website and are subject to change at Dal's discretion. Users will be notified of any changes to the fees at least 30 days in advance. The fees are deducted in advance for each subscription period (with a subscription period lasting for one month only or for a full year, depending on the selected plan). The fees are non-refundable unless otherwise agreed in advance or required by law. By providing a suitable payment method such as a credit card, you ensure that you are authorized to use that payment method and authorize us, or any third party affiliated with us for this purpose, to deduct the fees due to Dal immediately for the services that require any other approval or notification. The user has the right to update or change their payment information from their Dal account whenever they want. If your payment method is found to be invalid or unacceptable, your access to the services may be terminated or suspended. Taxes Dal fees do not include taxes unless otherwise stated, and all payments to Dal will be made without deducting any taxes or interests. If any of the services or service payments are subject to tax under applicable law, the user is solely responsible for paying that tax and any associated penalties to the appropriate tax authority. The user agrees to indemnify Dal and its subsidiaries and hold them harmless against any claims or expenses they may incur in connection with these taxes.
